The agreement between you and CrysoLabs Tech Solutions for access to our website, Client Portal, and Services.
Welcome to CrysoLabs. These Terms of Service govern your use of our website, our Client Portal, and the Services we provide. By accessing or using our website or Services, you agree to these Terms.
These Terms of Service ("Terms") form an agreement between you ("Client", "you") and CrysoLabs Tech Solutions ("CrysoLabs", "we", "us"). "Services" means the websites, software development, white-label delivery, maintenance, and Client Portal access we provide.
Where we enter into a separate written engagement agreement (Statement of Work, contract, or similar), that agreement takes precedence over these Terms for the specific engagement.
CrysoLabs is a software studio providing business websites, custom software (dashboards, MVPs, internal systems), white-label development for agencies, and post-launch maintenance and support. We may also provide smaller digital products or subscriptions via this website.
You agree to use our website, Client Portal, and Services only for lawful purposes. You agree not to reverse engineer, disrupt, or attempt to gain unauthorised access to our systems, and not to use our Services to build or host unlawful, harmful, or infringing content.
Some Services require a Client Portal account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Please notify us immediately if you suspect unauthorised access.
Each engagement begins with a written Statement of Work (or similar) that defines scope, deliverables, timeline, payment schedule, and revision rounds. Changes requested outside the agreed scope may be quoted separately as a change request.
We deliver in milestones. You are expected to review and approve deliverables within a reasonable time. Delays in client feedback may shift the delivery timeline.
Most engagements are billed in milestones — a kickoff deposit, one or more progress milestones, and a final payment on delivery. Deposits are required before work begins. Invoices are payable within the period stated on the invoice (typically 7 days), unless otherwise agreed in writing.
Payments are processed through our payment partners — most commonly Paddle (Merchant of Record) for digital products and subscriptions, and Stripe or bank transfer for engagement milestones. Taxes are charged where applicable.
If an invoice becomes overdue, we may pause work on the engagement until payment is received. Extended non-payment may result in termination of the engagement under clause 12 and restriction of Client Portal access.
On full payment of all amounts due for an engagement, we transfer ownership of the custom deliverables we produced for you (for example, bespoke source code and design files) to you, subject to this clause.
CrysoLabs retains ownership of any pre-existing tools, libraries, internal components, and know-how used to create the deliverables, and grants you a perpetual, non-exclusive licence to use them as part of the delivered work.
Third-party components (open-source libraries, SaaS providers, plugins) remain subject to their own licences and terms.
We treat non-public information you share with us as confidential and use it only to deliver the Services. We are happy to sign an NDA where required, and white-label delivery is supported by default.
We warrant that deliverables will substantially conform to the agreed scope for 30 days after delivery (or as stated in your Statement of Work). Bug fixes during this period are covered at no cost, subject to the same scope.
Ongoing maintenance, new features, and support after the warranty window are provided under a separate maintenance plan.
To the maximum extent permitted by law, CrysoLabs is not liable for indirect, incidental, consequential, or punitive damages, or lost profits or revenue. Our total aggregate liability under an engagement will not exceed the fees paid by you for that engagement in the six months preceding the claim.
Either party may terminate an engagement by written notice if the other materially breaches these Terms or the Statement of Work and fails to cure the breach within 14 days. On termination, you will pay for work completed up to the termination date and any non-refundable deposits under our Refund Policy.
We strive to keep our website and Client Portal reliable and up to date, but we do not guarantee uninterrupted availability. We may update, modify, or temporarily suspend features to improve security, performance, or compliance.
These Terms are governed by the laws of Sri Lanka, without regard to conflict-of-law rules. Any dispute will first be addressed in good faith between the parties, and otherwise resolved in the competent courts of Sri Lanka, unless the Statement of Work specifies a different jurisdiction.
We may update these Terms from time to time. Material changes will be reflected on this page with a new "last updated" date. Continued use of our website, Client Portal, or Services after an update constitutes acceptance of the revised Terms.
